Terms and Conditions

1. Introduction

Welcome to VARPIX ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website, software-as-a-service (SaaS) platform, and bespoke software licensing (collectively, the "Services").

By accessing our platform or engaging us for bespoke software provisioning, you ("Client," "User," or "you") agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Software Provisioning

VARPIX provides access to our proprietary software environment through two licensing models:

  1. SaaS Platform Access: Standard subscription access to our multi-tenant proprietary tools and infrastructure for web application management.
  2. Private Application Instances: The provisioning of a private, dedicated software environment within the VARPIX Hub, configured with bespoke logic tailored to your specific requirements. Access is provided exclusively via our hosted infrastructure.

3. Account Registration

To access certain features of the VARPIX platform, you may be required to register an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and identification.
  • Accept responsibility for all activities that occur under your account.

4. Intellectual Property Rights

4.1 VARPIX Platform Technology

All rights, title, and interest in the VARPIX platform, including our proprietary source code, frameworks, pre-existing libraries, visual interfaces, and documentation, remain the exclusive property of VARPIX.

4.2 Hosted Application Instances

Unless otherwise agreed in a separate Master Services Agreement (MSA):

  • Hosted Access & Licensing: All software generated for the Client is hosted and managed exclusively within the VARPIX Application Hub. We grant the Client a private, revocable, non-transferable license to access their specific software instance. VARPIX retains all Intellectual Property rights to the underlying source code and frameworks; the Client is paying for the usage and hosting of the digital asset, not the transfer of ownership of the underlying code.
  • VARPIX retains all Intellectual Property rights to the underlying source code, frameworks, and Background IP. The Client is granted a non-exclusive, non-transferable right to access and use the final software instance within the VARPIX environment for the duration of the agreement.

4.3 Client Data

You retain all rights to the data, content, and materials you upload to the platform or provide to us for development ("Client Data"). You grant VARPIX a license to process this data solely for the purpose of providing the Services.

5. Payment and Subscription Terms

  • All custom-engineered solutions are provisioned as private instances within the VARPIX Application Hub. Access is provided via secure authenticated login. VARPIX maintains the underlying infrastructure, security, and maintenance of the software instance. No transfer of source code ownership occurs; the Client is granted a hosted license for the duration of their subscription.
  • SaaS Subscriptions: Fees for platform access are billed on a periodic basis. Payments are non-refundable except as required by law.
  • Development Projects: Private Instance Provisioning: One-time configuration fees for bespoke software builds are billed according to the specific proposal or quote provided.
  • Late Payments: We reserve the right to suspend access to the platform or halt instance provisioning if payments are overdue.
  • Refunds: Due to the nature of digital software and custom code, refunds are generally not provided once the software has been delivered or access has been granted, except where required by law or in cases of significant non-conformance with agreed-upon technical specifications.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable national or international laws.
  • Reverse engineer, decompile, or attempt to extract the source code of the SaaS platform.
  • Upload viruses, malware, or malicious code.
  • Infringe upon the intellectual property rights of others.

7. Warranties and Disclaimers

"As Is" Basis: The VARPIX platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

Software Warranty:For bespoke software builds, we warrant that the software will perform substantially in accordance with the agreed specifications for a limited period after activation. This warranty does not cover issues caused by third-party APIs, hosting environment changes, or unauthorized modifications by the Client.

8. Limitation of Liability

To the maximum extent permitted by law, VARPIX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this site. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
